1. Acceptance of Terms

By accessing or using AuraScore ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Platform. These terms apply to all members, including DJs, event organizers, reviewers, and visitors.

2. Description of Service

AuraScore is a platform that connects DJs with event organizers and music enthusiasts. Our services include DJ profiles and rankings, review and rating systems, direct booking functionality, and DJ discovery tools. We facilitate connections between parties but are not a party to any agreements made between members.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account
• Not create multiple accounts or impersonate others

4. Off-Platform Transaction Prohibition

This policy exists to:

• Protect both Members and DJs with our secure payment system
• Maintain accurate booking and review data on the Platform
• Ensure DJs receive proper credit for their bookings and reviews
• Support the sustainability of the AuraScore platform

Violations of this policy may result in:

• Suspension or termination of your account
• Removal of DJ profiles from the Platform
• Forfeiture of any pending payments or deposits
• Legal action to recover applicable service fees

Note: This policy applies only to connections made through AuraScore. If you have a pre-existing relationship with a DJ before discovering them on our Platform, you may continue that relationship outside the Platform. However, any new business relationship initiated through AuraScore must remain on the Platform.

5. DJ Accounts and Profiles

DJs who create or claim profiles on AuraScore agree to:

• Provide accurate information about their services, experience, and rates
• Maintain up-to-date availability and booking information
• Respond to booking requests in a timely manner
• Honor confirmed bookings made through the Platform
• Conduct all bookings from AuraScore-discovered Members through the Platform
• Not solicit Members to transact outside the Platform
• Complete all required payout onboarding with AuraScore’s third-party payment processor in order to receive payouts.

6. Reviews and Ratings

Members who leave reviews agree to:

• Provide honest, accurate, and fair reviews based on actual experiences
• Not post fake, misleading, or defamatory content
• Not accept compensation for posting reviews
• Submit reviews within the specified timeframe after events

AuraScore reserves the right to remove reviews that violate these guidelines or our content policies. DJs may flag reviews for administrative review through our audit flag system.

7. Payments & Payment Processing

AuraScore facilitates payments between Event Organizers and DJs through a secure third-party payment processor. By using AuraScore’s booking and payment features, you acknowledge and agree that:

For Event Organizers (Clients):

• Payment for a booking is required for booking confirmation
• Payment methods may be securely stored to support scheduled or follow-up charges where applicable.
• You authorize AuraScore to charge your selected payment method in accordance with the booking terms presented at checkout.

For DJs:

• DJs must complete required payout onboarding in order to receive payments.
• AuraScore deducts applicable service fees prior to payout.
• Payouts are processed on a weekly basis (every Tuesday)
• DJ payouts are not released until at least 24 hours after the scheduled event has concluded, subject to any disputes, cancellations, or refund reviews.
• DJs are responsible for reporting income and paying any applicable taxes.

AuraScore does not act as a bank, escrow service, or fiduciary and does not hold funds for the benefit of any user except as required to facilitate platform functionality.

8. Bookings, Fees, and Payments

When booking is made through AuraScore:

• Service Fees: AuraScore charges a service fee, which is deducted from the DJ’s payout.
• Processing Fee: Payment processing fees are disclosed at checkout and charged to the Event Organizer.
• Payment Options: DJs may offer full payment upfront or a 50% deposit option, with the remainder due before the event
• Deposits: Deposits are non-refundable once a booking is confirmed
• Second Payments: For deposit bookings, the remaining balance is automatically charged 7 days before the event
• Failed Payments: If a scheduled payment fails, you will be notified and given time to update your payment method before the booking may be canceled

Cancellations & Refund Policy:

AuraScore's refund policy is designed to balance fairness, accountability, and platform integrity.

General Rules

• AuraScore service fees are non-refundable.
• Refunds are issued to the original payment method only.
• Refund eligibility depends on timing, circumstances, and platform review.

Eligible Refund Scenarios (may include, but are not limited to):

• DJ no-show or failure to perform without justification
• Event cancellation (prior to the event)
• Booking disputes substantiated through platform review
• Other situations where AuraScore determines a refund is warranted

Non-Refundable Scenarios

• Change of plans by the Event Organizer
• Dissatisfaction unrelated to performance obligations
• Requests made after the event has concluded without supporting evidence
• Off-platform arrangements or violations of platform policies

AuraScore reserves the right to:

• Review disputes on a case-by-case basis
• Withhold DJ payouts during an active dispute
• Issue partial or full refunds at its discretion
• Deny refunds where platform policies have been violated

All refund and dispute decisions made by AuraScore are final.

9. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Circumvent Platform fees by transacting off-platform
• Post false, misleading, or defamatory content
• Harass, threaten, or abuse other members
• Attempt to manipulate rankings or reviews
• Use automated systems to access the Platform without permission
• Infringe on intellectual property rights
• Share your account credentials with others
• Attempt to circumvent or manipulate the payment system

10. Intellectual Property

AuraScore and its original content, features, and functionality are owned by AuraScore and are protected by copyright, trademark, and other intellectual property laws. Members retain ownership of content they submit but grant AuraScore a license to use, display, and distribute such content on the Platform.

11. Disclaimer of Warranties

AuraScore is provided "as is" without warranties of any kind. We do not guarantee the accuracy of DJ profiles, reviews, or rankings. We are not responsible for the quality of DJ services or the conduct of any member. Members engage with DJs at their own risk. Payment processing is provided by a third-party payment processor. AuraScore is not responsible for errors or outages caused by such services.

12. Limitation of Liability

To the maximum extent permitted by law, AuraScore shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, any transactions between members, or any issues related to payment processing.

13. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform will immediately cease. Any pending payouts may be withheld pending resolution of any disputes or violations. Provisions that by their nature should survive termination will remain in effect.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify members of material changes by posting the updated Terms on our Platform and updating the "Last Updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved in the courts of New York.
